Agreement
Description of Service

Learning Design Group, LLC is a web-based service providing instructors an online venue to teach courses and students a place to learn fully online. 
The service provided by Learning Design Group, LLC is referenced as the "Service." Persons teaching content are referred to as our "Instructors." This Terms of Service/User Agreement ("Agreement") covers your use of the Service, including providing the tools to build your course(s) online, a site to host your course(s), online marketing of your course(s) through our marketing site, and training for building your course(s) if needed. Only enrolled students can access your course content. Visitors may come to the site to find courses of interest or learn how to teach online for Learning Design Group, LLC. As an instructor you will have password protected access, as will your students. By registering with Learning Design Group, LLC, or by using this Service in any manner, you acknowledge and agree to the terms stated in this Agreement. 


Fees, Pricing, and Payments

A.  Fees
Only students will be responsible for paying fees for the Service. There is no fee for instructors to teach for Learning Design Group, LLC.

B.  Pricing of Courses
Instructors will have the opportunity to negotiate the price desired for their courses distributed through the Service. All final course charges will be determined by Learning Design Group, LLC with input from Instructors. We strive for high quality courses and want our Instructors to be compensated well for their efforts and will work with individual Instructors for final pricing. 

C.  Agreement of Instructor Payments
In consideration for the Services provided by Learning Design Group, LLC, you (Instructor), will receive 70% enrollment fee less any administrative fees per student. These administrative fees include but are not limited to any PayPal charges incurred as a result of each enrollment. Checks will be issued monthly at the end of each month. Instructors are responsible for tracking their earnings for purposes of the IRS. Learning Design Group, LLC will provide 1099 Forms for any Instructor grossing over six hundred dollars ($600) in a calendar year. Providing accurate mailing addresses will ensure timely payments.  

Limitations

Your direct interactions (if any) with other users or members of the Service, including payment and delivery of goods or services, and any other terms, conditions, warranties or representations associated with such dealings, are solely between you and that individual. Like with any web-based interaction, we suggest that you use caution and good judgment. You further agree that Learning Design Group, LLC,  is not responsible for any loss or damage incurred as the result of any such dealings or with respect to any other user's use or disclosure of your personally identifiable information (as explained in the Privacy Policy). If there is a dispute between you and any third party (including any user), Learning Design Group, LLC is under no obligation to become involved.

Registration Obligations

In consideration of your use of the Service, you represent that you are of legal age to form a binding contract, and are not a person barred from receiving services under the laws of the United States or other applicable jurisdiction. You also agree to: (a) provide true, accurate, current and complete information about yourself as prompted by the Service's registration form (the "Member Data") and (b) maintain and promptly update the Member Data to keep it true, accurate, current and complete. If you provide any information that is untrue, inaccurate, not current or incomplete, or Learning Design Group, LLC has reasonable grounds to suspect that such information is untrue, inaccurate, not current or incomplete, Learning Design Group, LLC has the right to suspend or terminate your account and refuse any and all current or future use of the Service (or any portion thereof). Learning Design Group, LLC is concerned about the safety and privacy of all its users, particularly children. For this reason, the service is limited to individuals aged 13 and over.  (Please see our Privacy Policy for further information.) 

Instructor Conduct

As a condition of using the Service, you agree to all of the following: 
- You must be a selected Instructor through our screening process to teach your content through the Service. 
- You are required to select a member identification ("UserName") and password. While Learning Design Group, LLC will keep your UserName and password confidential in accordance with its Privacy Policy, you are responsible for maintaining the confidentiality of your UserName and password. 
- You are responsible for all activity that occurs under your UserName. 
- You are solely responsible for your conduct and any content that you submit, post, and display on the Service, or that you allow others to submit, post and/or display on the Service under your UserName. 
- You agree that you will not attempt to, or encourage or assist any other person to, circumvent or modify any security technology or software that is part of the Service or used to administer the rules contained in this Agreement.
Further, while using the Service, Instructors agree not to: 
- upload, post, email, transmit or otherwise make available any content directed at Instructors or Students that is unlawful, harmful, threatening, abusive, harassing, invasive of another's privacy, hateful, tortuous, defamatory, vulgar, obscene, libelous, or racially, ethnically or otherwise objectionable. 
- upload, post, transmit, email, or otherwise make available to Instructors or Students any unsolicited or unauthorized advertising, promotional materials, "spam," "junk mail," "chain letters," "pyramid schemes," "affiliate links," or any other form of solicitation. 
- transmit any worms or viruses or any code of a destructive nature to Instructors or Students. 
- provide materials or any other content for download that contain viruses or any other code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment. 
- violate any local laws in your jurisdiction (including but not limited to intellectual property laws). 
- use the Service for any illegal or unauthorized purpose. If you are an international user, you agree to comply with all local laws regarding online conduct and acceptable content. 
- impersonate a Learning Design Group, LLC employee or user, or falsely state or otherwise misrepresent your affiliation with a person or entity. 
- send email or any other content that includes personal or identifying information about another person without that person's explicit consent. 
- send email or any other content that is false, misleading, deceptive, deceitful, or constitutes "bait and switch". 
- sell or offer for sale materials that infringe a patent, trademark, trade secret, copyright or other proprietary rights of another person or entity, or offer content that you do not have a right to make available under any law or under contractual or fiduciary relationships. 
- advertise any illegal services or the sale of any items the sale of which is prohibited or restricted by applicable law, including without limitation items the sale of which is prohibited or regulated by applicable law. 
- mass email students or Instructors in such a way that negatively impacts any Instructor or Studentsâ€™ ability to access their courses. 
- employ misleading email or IP addresses, or forged headers or otherwise manipulated identifiers in order to disguise the origin of content transmitted through the Service. 
- attempt to gain unauthorized access to Learning Design Group, LLC or engage in any activity that disrupts, diminishes the quality of, interferes with the performance of, or impairs the functionality of, the Service. 
- harass or intimidate anyone on the Service. 
- collect any personally identifying data about Students or other instructors for unlawful purposes. 
- use automated means, including spiders, robots, crawlers, data mining tools, or the like to download data from the Service-except for internet search engines (e.g. Google or Yahoo!) and non-commercial public archives (e.g. archive.org) that comply with our robots.txt file, or "well-behaved" web services/RSS/Atom clients. We reserve the right to define what we mean by "well-behaved". 
- develop, invoke, or utilize any code to disrupt, diminish the quality of, interfere with the performance of, or impair the functionality of the Service.
Inappropriate User-Submitted Content

Learning Design Group, LLC prohibits certain user conduct and content described above and, without obligation, will use reasonable efforts to eliminate such conduct and content from the Service. Nevertheless, you acknowledge and agree that (1) Learning Design Group, LLC is not and cannot be responsible for content posted by users on the Service, (2) you may be exposed to any such materials or content, and (3) you must bear all risks associated with the exposure to and/or use of any content, including without limitation any reliance on the accuracy, completeness, or usefulness of such content. Learning Design Group, LLC will continue to monitor course content for quality purposes but may not be able to identify any such negative conduct as soon as it occurs. 

Privacy Policy

Our Privacy Policy is available at www.learningdesigngroup.net. By accepting these Terms of Service, you agree to be bound by our Privacy Policy, which is by this reference expressly incorporated into this Agreement. 


Copyright Policy

We respect the intellectual property rights of others, and we ask that our users do the same. It is our policy to disable access to or remove material that we believe in good faith to be infringing on a copyrighted work. We also disable and/or terminate the accounts of users who we believe in good faith are repeatedly infringing copyrighted works. Our Copyright Policy has been developed in accordance with the Digital Millennium Copyright Act (DMCA) and other applicable laws. By accepting these Terms of Service, you agree to be bound by our Copyright Policy, which is by this reference expressly incorporated into this Agreement. 

Indemnity

By accepting this Agreement, you agree to indemnify and hold Learning Design Group, LLC and its subsidiaries, affiliates, officers, agents, employees, partners and licensors harmless from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of content you submit, post, transmit or otherwise make available through the Service, your use of the Service, your connection to the Service, your violation of this Agreement (including our Copyright Policy and Privacy Policy), or your violation of any rights of another. 

Warranty Disclaimers 

You agree that your use of the Service provided by Learning Design Group, LLC shall be at your sole risk to the fullest extent permitted by law, Learning Design Group, LLC, its officers, directors, employees and agents disclaim all warranties, express or implied, in connection with the website and your use thereof.  Learning Design Group, LLC  makes no warranties or representations about the accuracy of completeness of the Serviceâ€™s content or the content of any sites linked to this Service, and assumes no liability or responsibility for any (A) errors, mistakes, or inaccuracies of content, (B) personal injury or property damage, of any nature whatsoever, resulting from your access to and use of this Service, (C) any unauthorized access to or use of our secure servers and/or any and all personal information and/or financial information stored therein, (D)any interruption or cessation of transmission to or from the Service (E) any viruses, Trojan horses or the like which may be transmitted to or through the Service by any third party, and/or any errors or omissions in any content, or for any loss or damage of any kind incurred as a result of the use of any content posted in the course, emails sent or any other communications through the Service. Learning Design Group, LLC does not warrant, endorse, guarantee, or assume responsibility for any product or service advertised or offered by a third party through the Service or a linked website, information contained in a banner or any other advertisement. 

Limitation of Liability

In signing this Agreement, you also agree that Learning Design Group, LLC and its subsidiaries, affiliates, employees, agents, partners, officers and licensors shall not be liable to you for any direct, indirect, incidental, special, consequential, or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data or other intangible losses, resulting from: (A) use or inability to use this Service, (B) the cost of procurement of substitute goods and services resulting from any goods, data, information or services purchased or obtained or messages received or transactions entered into, through or from this Service, (C)  unauthorized access to or alteration of your transmissions or data, (D) statements or conduct of any third party on the Service, or any other matter relating to the Service. Some states or other jurisdictions do not allow the exclusion or limitation of liability for incidental or consequential damages, so the above limitations and exclusions may not apply to you.  

Termination

We reserve the right to terminate you as an Instructor immediately, without prior notice or liability, for any reason. If we terminate you as an Instructor, your right to use the Service will immediately cease. You may terminate your status as an Instructor at any time and for any reason, and we will make available through the Service reasonable means for you to do so. All provisions of the Terms of Service will survive termination, including, without limitation, ownership provisions, licenses, warranty disclaimers, indemnity, and limitations of liability. 

Additional Provisions
- Entire Agreement. The Terms of Service, including Learning Design Group, LLCâ€™s Copyright Policy and Privacy Policy, which are incorporated by reference above, constitute the entire agreement between you as an Instructor and Learning Design Group, LLC and governs your use of the Service. 
- Governing Laws. The Terms of Service will be governed by and construed in accordance with the laws of the State of Colorado, without regard to its conflict of law provisions. 
- Dispute Resolution. Any controversy or claim arising out of or relating to the Terms of Service, or the breach thereof, shall be settled by arbitration administered by the American Arbitration Association, and judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof. The arbitrators will be selected from a panel of persons having experience with and knowledge of electronic commerce, computers, and the internet, or, if the dispute is copyright-related, then arbitrators will be selected from a panel of persons having experience with and knowledge of copyright law. In the event that any party's claim exceeds $1 million, exclusive of interest and attorneys' fees, the dispute shall be heard and determined by three arbitrators. The place of arbitration shall take place in Colorado, USA. Any judicial proceeding following arbitration shall take place in the State or Federal courts within the judicial district where the arbitration took place. 
- Waiver and Severability. The failure of Learning Design Group, LLC to exercise or enforce any right or provision of the Terms of Service shall not constitute a waiver of such right or provision. If any provision of the Terms of Service is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the partiesâ€™ intentions as reflected in the provision, and the other provisions of the Terms of Service remain in full force and effect. 
- Notices. Learning Design Group, LLC may provide you with notices, including, without limitation, those regarding changes to the Terms of Service and other service-related announcements, by email or postings on the Service. 
- Future Modifications of Terms of Service. Learning Design Group, LLC reserve the right to modify the Terms of Services at any time, and without prior notice, by posting amended terms on this website. We will give you 14-days notice of any such changes. Your continued use of the Service indicates your acceptance of the amended Terms of Service. 
- Future Changes In The Service. Learning Design Group, LLC reserves the right at any time (and from time to time) to modify, suspend, or discontinue providing the Service or any part thereof with or without notice. Learning Design Group, LLC will not be liable to you or to any third party for any modification, suspension or discontinuance of the Service. 
- Assignment. Learning Design Group, LLC may assign this agreement to any successor or purchaser of Learning Design Group, LLC or all or substantially all of its assets 
- Headings. Section titles and headings in this Agreement are for convenience only, and have no legal or contractual effect. 
- Trademarks. Learning Design Group, LLC logos and names are trademarks of Learning Design Group, LLC. You agree not to display or use these trademarks in any manner without prior, written consent of Learning Design Group, LLC
